We begin each engagement by consulting with the buyer client in great depth to determine goals, considerations, strategic planning and long range vision.
The steps in the process...
We consult our proprietary database and conduct additional research to assemble an initial list of viable seller prospects and determine the correct fit. Once this initial list is approved, StevensGouldPincus spends several hours consulting with each candidate to determine its interest in being acquired.
Rick Gould personally reviews financials, determines trends and patterns, positive or negative, and provides a financial profile. At the conclusion of the review, StevensGouldPincus narrows the search down to two to four candidates and presents the buyer with a profile of each firm. A financial overview and commentary that states the case as objectively as possible as to why each firm should be considered is prepared. A review of this list is conducted in person with the buyer client to determine which seller candidates constitute the best fit.
Once the prospective buyer has reviewed these materials we arrange for the heads of these agencies to meet with the buyer. One of our partners is present at these meetings so that we can help determine, on the buyer’s behalf, the pluses and minuses.
We probe deeply into the track records for the past three years of the finalist candidates to determine the stability of their accounts, the quality of the work done, the caliber of staff, the professionalism of case studies, the chemistry fit of the principals, etc. We conduct interviews of employees, industry sources, and the media for commentary, observations and assessment. Rick also prepares a valuation based on indications of future profitability and an array of relevant factors.
Once a finalist is chosen, StevenGouldPincus assists the buyer in the preparation of terms and negotiations and works on behalf of the buyer throughout the due diligence process and attorney discussions.
