We begin each engagement by consulting with the seller client in great depth to determine goals, considerations, strategic planning and long range vision.

The steps in the process...

When entering into initial discussions with a prospective seller we conduct a preliminary analysis of the prospects for a successful acquisition. It is in the prospective seller’s best interest to evaluate the seller’s particular specialties, geographic appeal and financials. We will only represent a prospective seller once we have made the determination that a successful acquisition is a reality.

As soon as we have made this determination we move forward to determine the correct criteria and assemble an initial list of viable candidates that would be a good fit. Considerable research is involved. Our goal is to identify at least two buyer candidates so that reasonable options can be presented to the seller. Each buyer candidate must meet the test of a thorough StevensGouldPincus probe, i.e., stability of the organization and its accounts, the quality of the work done, the caliber of staff, the professionalism of case studies, the chemistry fit of the principals, etc. We conduct interviews of senior managers, industry sources and the media for commentary, observations and assessment.

Rick Gould personally reviews financials of buyer candidates, determines trends and patterns, positive or negative, and provides a financial profile for the seller. Likewise, we represent the seller’s best interests by developing appropriate background information, including a valuation analysis, for would-be buyers.

Once the prospective seller and buyer have reviewed each other’s material we arrange initial meetings. One of our partners will be present at those meetings to help facilitate meaningful and productive discussions.

When an agreement is reached that both parties wish to proceed, StevensGouldPincus assists the seller in negotiations and works on behalf of the seller throughout the due diligence process and attorney discussions.
